Acceptance of terms

  • Digital marketing services
  • Technical support and maintenance
  • Technology consulting

Specific service deliverables, timelines, fees and responsibilities will be outlined in individual proposals, quotations, statements of work or service agreements.

Website Use

You agree to use this website lawfully and must not:

  • Violate any applicable laws or regulations
  • Attempt to gain unauthorised access to systems or networks
  • Introduce malicious software, viruses or harmful code
  • Interfere with website operation or security
  • Use the website in a manner that could damage our reputation or business

We reserve the right to restrict or terminate access to our website at our discretion.

is owned by or licensed to Continuum Solutions and is protected by Australian and international intellectual property laws.

Client Content

Clients retain ownership of any intellectual property they provide to us.

By providing content, you warrant that:

  • You own the content or have authority to use it.
  • The content does not infringe any third-party rights.
  • The content complies with applicable laws.

You grant Continuum Solutions a non-exclusive licence to use such content solely for the purpose of delivering contracted services.

Project Deliverables

Unless otherwise agreed in writing:

  • Ownership of custom-developed deliverables transfers upon full payment.
  • Continuum Solutions retains ownership of pre-existing tools, frameworks, methodologies, templates and proprietary systems.
  • Third-party software remains subject to the relevant vendor’s licensing terms.

Open-source software may be incorporated into projects where appropriate and remains subject to its respective licence terms.

Fees and Payment

Payment terms will be specified in proposals, quotations, invoices or service agreements.

Unless otherwise stated:

  • Invoices are due within 14 days.
  • Late payments may result in suspension of services.
  • All fees are quoted in Australian Dollars (AUD).
  • Prices exclude GST unless otherwise stated.

We reserve the right to recover reasonable costs associated with overdue accounts including using a debt collection service.

Hosting, Cloud Services and Third-Party Providers

Where services rely on third-party providers including cloud hosting, domain registrars, software vendors or telecommunications providers:

  • Availability of those services is outside our direct control.
  • We do not guarantee uninterrupted operation.
  • Service interruptions, outages or vendor changes may impact availability.

Examples include AWS, Cloudflare, Google, Microsoft, Firebase, Stripe, Twilio and other technology providers.

Warranties

We will perform services with reasonable care and skill.

To the maximum extent permitted by law, we do not warrant that:

  • Services will be uninterrupted or error-free.
  • Software will be free from defects.
  • Websites or applications will be completely secure.
  • Services will achieve specific commercial outcomes.

Any implied warranties that cannot legally be excluded are limited to the minimum extent permitted by law.

Limitation of liability

To the maximum extent permitted by law, Continuum Solutions will not be liable for:

  • Loss of profits
  • Loss of revenue
  • Loss of business opportunity
  • Loss of data
  • Indirect or consequential damages
  • Third-party service failures

Our total liability arising from any claim will not exceed the amount paid by the client for the specific services giving rise to the claim during the previous 12 months.

Client responsibilities

Clients are responsible for:

  • Providing accurate information
  • Supplying required content and approvals promptly
  • Maintaining backups unless otherwise agreed
  • Managing user access and credentials
  • Reviewing and approving deliverables

Project delays caused by the client may impact timelines and costs.

Confidentiality

Each party agrees to keep confidential information secure and not disclose it to third parties except where:

  • Required by law
  • Necessary to perform services
  • Authorised by the other party

Confidentiality obligations survive termination of services.

Privacy

Your use of our website and services is also governed by our Privacy Policy.

By using our website or services, you consent to the collection and handling of information as described in that policy.

Termination

We may suspend or terminate services where:

  • Fees remain unpaid
  • These Terms are breached
  • Continued service provision would be unlawful
  • There is abusive or inappropriate conduct

Termination does not affect accrued rights or obligations.

Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including:

  • Natural disasters
  • Internet outages
  • Cybersecurity incidents
  • Government actions
  • Supplier failures
  • Utility disruptions

Changes to these terms

We may update these Terms from time to time.

Updated Terms will be published on this website and become effective upon publication.

Governing Law

These Terms are governed by the laws of Victoria, Australia.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria.
